Fastpitch Softball Bylaws
ARTICLE I
PURPOSE
The purpose of the Eastview Fastpitch Softball Association shall be to
promote and operate fastpitch softball programs for youth residing within
the EVAA Participation Area as defined in the EVAA Traveling Program
Participation Policy.
ARTICLE II
BOARD OF DIRECTORS
SECTION 1 - The Eastview Fastpitch Softball Association Board of Directors
shall consist of seven (7) to twenty (20) members. Four (4) of these members
will serve as Elected Officers.
SECTION 2 - Each member of the Board of Directors will serve for two (2)
years with elections taking place during the September general monthly meeting.
Election to an Elected Officer position will extend membership on the Board for
the term of that position.
SECTION 3 - Any Board Member desiring to resign shall submit their resignation in
writing to the Secretary, who shall present it to the Board for action.
SECTION 4 - Vacancies will be filled by the signed or verbal recommendation
of one Board Member, seconded by another Board Member and by a two-thirds vote of the
Board.
ARTICLE III
ELECTED OFFICERS
SECTION 1 - The officers of the Association shall be a Program Director,
Assistant Director, Secretary and Treasurer.
SECTION 2 - Officers shall be elected from the Board membership by a simple
majority of the Board. The term of office shall be two
(2) years, unless the office was vacant. (See Article III; section 5.) There
will be no term limits.
SECTION 3 - Elections for the office of Program Director and Treasurer shall
be held in odd number years. Elections for the office of Assistant Program
Director and Secretary shall be held in even number years.
SECTION 4 - The Board may elect a non-sitting member as an Elected Officer
with a two-thirds vote of the Board.
SECTION 5 - Any vacancy because of death, resignation, removal,
disqualification or otherwise shall be filled by the Board for the non-expired
portion of the term.
SECTION 6 - Program Director
Will supervise all business and affairs of the organization; preside at all
meetings of the membership and the Board of Directors; sign all official
documents of the organization appoint committees as needed; serve as ex-official
member of all committees. Shall co-approve all expenditures prior to funds being
issued. Act as co-chairperson of Traveling Team Selection Committee and Coaches
Selection Committee.
SECTION 7 - Assistant Program Director
Will perform the duties of the Director in the event of the inability of the
Director to act. When so acting will have all the powers of and be subject to
all restrictions upon the Director. The Assistant Director shall act as liaison
between committees and the EVAA Main Board of Directors. The Assistant Director
shall also perform other duties as may be assigned by the Director or the full Board.
SECTION 8 - Secretary
The Secretary shall perform all duties incident to the office of Secretary,
subject to the control of the full board. Minutes of full board meetings will be
recorded and copies maintained by the secretary. Copies will be distributed to
Board Members. Upon completion of duties as Secretary, the Secretary shall
deliver all books, papers and reports as appropriate to the new incumbent.
SECTION 9 - Treasurer
The Treasurer shall have charge and custody of and be responsible for all
funds of the softball organization; receive and give receipts for moneys due and
payable to the organization from any source whatsoever, and deposit all such
moneys in the name of the organization in the bank of choice of the full board.
The Treasurer shall in general perform all duties incident to the office of
Treasurer and other duties as may be assigned to him by the Director. Shall
co-approve all expenditures prior tofunds being issued. Upon completion of
duties as Treasurer, the Treasurer shall deliver all receipts, books and reports
as appropriate to the new incumbent. Also the incumbent Treasurer will conduct,
with the EVAA Treasurer, a financial audit of the softball account.
ARTICLE IV
REMOVAL
SECTION 1 - A Board Member may be removed from the Board and forfeit their
position for failing to carry out expected duties or conduct detrimental to
EVAA and/or the Eastview Fastpitch Softball Association. To remove a Board
Member, a written complaint must be presented to the Board. The complaint
will be reviewed and investigated by the Officers. If sufficient justification
exists, a hearing before the full Board will be held. A vote of two-thirds of
all Board members is required for the dismissal of a Board Member.
SECTION 2 - Three consecutive absences from scheduled Board Meetings will
result in the Board requesting and reviewing the reasons for the absences,
which could result in removal from the Board.
ARTICLE V
MEETINGS
SECTION 1 - The Board shall meet monthly. A quorum shall consist of at least
one half (1/2) of sitting members of the Board.
SECTION 2 - Board Meetings shall be held at any time and location designated
by the Program Director. Notice of meetings shall be communicated to each member
and posted on the EVAA Softball web site. All Board Meetings shall be open to
the public.
ARTICLE VI
STANDING COMMITTEES
The Program Director may appoint committees. Members do not need to be a
member of the Board. Each committee shall have a chairperson to report
activities to the Board as required.
ARTICLE VII
SPECIAL COMMITTEES
The Program Director or Board may establish special committees as required.
Actions of the special committees are subject to approval of the Board. Each
special committee shall consist of at least three (3) members and be headed by
one member designated as the chairperson. A Board member may head no more than
two (2) special committees.
ARTICLE VIII
VOTING RIGHTS
SECTION 1- Each member of the Board will have one vote.
SECTION 2 - All votes for membership on the Board, removal from the Board and
for Elected Officers will be a ballot vote. Absentee ballots will be allowed for
these votes.
SECTION 3 - The Program Director as a member of the Board may vote as any
other member if the vote is a ballot.
ARTICLE IX
RISK DISCLOSURE STATEMENT
All Board Members will comply with the Risk Disclosure Policy as set forth
by the EVAA Main Board of Directors.
The EVAA Risk Disclosure Policy also applies to coaches, assistant coaches,
as well as others as deemed necessary by the EVAA Main Board of Directors or
the Eastview Fastpitch Softball Association Board of Directors.
ARTICLE X
BY-LAW CHANGES
These bylaws may be changed at any regular meeting by a two-thirds vote. The
proposed change should be submitted in writing and distributed by the secretary
to members for review at least five (5) days before any vote.
